1. Program Overview & Acceptance
1.1 What This Agreement Covers
These Affiliate Program Terms & Conditions (“Terms”) govern the participation of
individuals and entities (“Affiliate(s)”) in the Fat Loss FM Affiliate Program (“Program”).
These Terms outline how Affiliates may promote FatLossFM products and services, how commissions are earned and calculated, payment procedures, prohibited conduct, and the grounds for program termination.
1.2 Acceptance of Terms
By enrolling in the FatLossFM Affiliate Program, completing the registration form, or clicking “I Accept” on this document, the Affiliate acknowledges that they have read, understood, and agree to be bound by these Terms, as well as:
- FatLossFM’s main Terms of Service (if applicable)
- FatLossFM’s Privacy Policy
- All applicable laws and regulations in their jurisdiction and the jurisdictions where their audience is located.
If the Affiliate does not agree to these Terms, they must not enrol or continue participating
in the Program.
1.3 Entire Agreement
These Terms, together with any additional terms referenced herein, constitute the entire
agreement between FatLossFM and the Affiliate regarding the Affiliate Program and supersede all prior negotiations, understandings, and agreements.
2. Enrollment & Eligibility
2.1 Registration Requirements
To participate in the Program, prospective Affiliates must:
(a) Complete the official FatLossFM Affiliate registration form, providing accurate and
complete information, including:
- Full legal name
- Email address
- Physical business address (if applicable)
- Preferred username and secure password
- Primary method of promotion (e.g., blog, email list, YouTube, Instagram, TikTok,
podcast) - Payment method (PayPal, Wise transfer, or bank direct deposit; FatLossFM’s sole
determination)
(b) Confirm they are at least 18 years of age and have the legal capacity to enter into this
agreement.
(c) Confirm they have read and agree to abide by these Terms.
2.2 Acceptance & Rejection of Applications
(a) Fat Loss FM reserves the right to review all affiliate applications and may accept or reject any application in its sole discretion, without obligation to provide a reason.
(b) Fat Loss FM may deny enrollment to individuals or entities that:
- Have previously violated these Terms or FatLossFM’s Policies.
- Operate in jurisdictions where the Program is legally prohibited.
- Have engaged in fraudulent, deceptive, or unethical marketing practices.
- Promote competing weight-loss or health products/services in a manner that conflicts with FatLossFM’s interests.
- Have a history of chargebacks, disputes, or payment fraud.
(c) Notification of rejection will be provided via email within 7 business days of application
submission.
2.3 No Cost to Enrol
Enrollment in the Program is free. FatLossFM does not charge Affiliates any fees, setup costs, or membership dues to participate.
2.4 No Exclusive Arrangement
Affiliates are not prevented from promoting other products or services, provided they comply with Sections 5.6, 6.3 and 6.4 and do not create conflicts of interest or reputational damage to FatLossFM.
3. Commission Structure & Calculation
3.1 Commission Rate
Affiliates earn a flat 30% commission on all qualifying sales of FatLossFM digital products and courses sold through their unique affiliate link(s).
This commission is calculated as follows:
Commission = 30% × (Product Sale Price – Applicable Taxes & Payment Processing
Fees)
Example:
- Product price: $100 USD
- Applicable GST/VAT (if applicable): $10
- Payment processing fee (e.g., Stripe): $2.90
- Commissionable amount: $100 – $10 – $2.90 = $87.10
- Affiliate commission: 30% × $87.10 = $26.13
3.2 Scope of Commissionable Sales
(a) First-Time Purchases Only: Commissions are earned on first-time purchases of FatLossFM products by new customers who have not previously purchased from FatLossFM through any channel.
(b) Eligible Products: Currently, commissions apply to FatLossFM’s digital courses,
downloadable guides, and membership programs listed on the Affiliate Dashboard.
(c) Recurring/Subscription Products: If and when Fat Loss FM offers subscription-based
products, Affiliates earn 30% commission on the initial month/period only, unless otherwise notified. Subsequent recurring charges do not generate affiliate commissions.
(d) Exclusions: Commissions are NOT earned on:
- Gift purchases or product redemptions via promotional codes.
- Refunded transactions or cancelled orders.
- Bundle purchases with significant discounts (unless FatLossFM explicitly includes
them). - Products purchased via internal staff accounts or test accounts.
- Any sales generated through non-compliant promotional methods (see Sections 5.6, 6.3 and 6.4)
3.3 Adjustment for Refunds, Chargebacks, and Cancellations
(a) If a customer purchases a FatLossFM product through an Affiliate link but later requests a refund or initiates a chargeback, FatLossFM reserves the right to:
- Deduct the refunded amount from the Affiliate’s next scheduled payout.
- If no pending payouts are available, offset the refunded amount against future earned commissions.
- Immediately withhold payment if a chargeback is filed.
(b) The Affiliate remains liable for refunds and chargebacks even if the commission has
already been paid.
(c) FatLossFM will notify the Affiliate of any deductions via the Affiliate Dashboard within
5 business days of processing a refund or chargeback.
4. Cookie Duration & Attribution
4.1 Cookie Tracking Period
(a) Each click on an Affiliate’s unique link places a cookie on the customer’s device for a
duration of 60 calendar days.
(b) If the customer makes a purchase at any point during the 60-day cookie period, the affiliate is credited with the commission.
(c) After 60 days, the cookie expires, and no further commission can be claimed for that customer.
4.2 Last-Click Attribution
(a) If a customer clicks multiple Affiliate links before making a purchase, credit is awarded
to the last Affiliate link clicked immediately before the purchase is completed.
(b) Example: Customer clicks Affiliate A’s link on Day 1, then Affiliate B’s link on Day 30, and
purchases on Day 31. Affiliate B receives the commission.
4.3 No Tracking Guarantees
(a) Technical Limitations: Fat Loss FM does not guarantee 100% tracking accuracy.
Commissions may not be properly attributed due to:
- Ad blockers, browser privacy settings, or cookie-blocking extensions.
- Customers clearing cookies or browsing in private/incognito mode.
- Cross-device purchasing (customer clicks on mobile but purchases on desktop).
- Third-party payment processor issues, API failures.
- Internet connectivity interruptions.
(b) FatLossFM’s tracking system relies on industry-standard methods but is not infallible. Disputes regarding untracked sales or missing commissions must be reported within 30 days of the disputed transaction date.
(c) FatLossFM will investigate disputes in good faith, but is not obligated to award commissions for sales it cannot verify through its tracking system.
4.4 Right to Modify Cookie Duration & Attribution
FatLossFM reserves the right to change the cookie duration, attribution model, or tracking
methodology at any time by providing 14 days’ written notice to Affiliates. Continued
participation after the notice period implies acceptance of the changes.
5. Payout Terms & Conditions
5.1 Payout Schedule
(a) Frequency: Commissions are paid monthly, on or before the 15th day of each month,
for all commissions earned in the previous calendar month.
(b) Example: Commissions earned between January 1 and 31 are paid by February 15.
(c) Timing: Payouts are initiated by Fat Loss FM; the time for funds to reach the Affiliate’s account depends on the payment method and financial institution (typically 3–5 business days for bank transfers, 1–2 days for PayPal).
5.2 Minimum Payout Threshold
(a) Affiliates must accumulate a minimum of USD 50 (or equivalent in other currencies) in earned commissions before a payout is triggered.
(b) If the Affiliate’s balance is below $50 at the scheduled payout date, the balance rolls
over to the next month and continues to accumulate.
(c) Once the $50 threshold is met, payouts will occur at each subsequent monthly payout
date.
(d) If an Affiliate wishes to request payout of a balance below $50, they may contact
support@fatlossfm.com, and FatLossFM may, in its discretion, process the payment but may charge a processing fee to cover bank/payment service costs.
5.3 Hold Period for Fraud Detection
(a) Fraud Detection Window: All commissions are subject to a 45-day hold period from
the date of the customer’s purchase before becoming eligible for payout. This is to allow FatLossFM to detect and process any refunds, chargebacks, or fraudulent transactions.
(b) What This Means: If an Affiliate’s commission reaches $50 on January 10, but the customer’s purchase was made on January 1, the commission is not eligible for payout until February 15 (45 days post-purchase), even if it would normally be paid on January 15.
(c) Continued Monitoring: Even after a payout is issued, FatLossFM reserves the right to correct or reverse a commission if a dispute, chargeback, or refund is discovered or processed after the payout date.
5.4 Approved Payment Methods & Currencies
(a) Fat Loss FM pays commissions via the following methods (Affiliate chooses one):
- PayPal account
(b) Currency: Payouts are issued in USD unless the Affiliate has arranged an alternative currency with FatLossFM’s payment processor. Currency conversion fees (if applicable) are the Affiliate’s responsibility.
(c) Bank & Payment Information: Affiliates must maintain accurate and up-to-date payment information in their Affiliate Dashboard. Fat LossFM is not liable for failed
payments due to incorrect or outdated banking details provided by the Affiliate.
5.5 Taxes & Tax Reporting
a) Affiliate Responsibility: The Affiliate is solely responsible for calculating, reporting and paying all income taxes, GST/VAT and any other taxes arising from commissions earned under this Program in all relevant jurisdictions.
(b) Tax Documentation: FatLossFM may provide annual commission summaries upon request, but does not guarantee the issuance of any specific tax forms. Affiliates are responsible for obtaining any additional documentation required by their local tax authorities.
(c) Withholding: FatLossFM may withhold taxes from payments only where required by law.
(d) No Tax Advice: FatLossFM does not provide tax advice. Affiliates should consult a qualified tax professional in their jurisdiction.
5.6 Right to Withhold or Adjust Commissions
FatLossFM reserves the right to withhold, withhold payment of, or offset any Affiliate’s
commissions in the following cases:
(a) Fraudulent or Misleading Activity: The Affiliate has engaged in fraud, misrepresentation, or deceptive practices in promoting FatLossFM products.
(b) Self-Referrals: Purchases made by the Affiliate or their immediate family members using the Affiliate’s own link may, at FatLossFM’s discretion, be excluded from commission eligibility.
(c) Prohibited Methods: The Affiliate has generated traffic using prohibited methods (see Sections 6.3 and 6.4).
(d) Chargebacks & Refunds: Chargebacks, refunds, or cancellations attributable to the Affiliate’s sales.
(e) Policy Violations: The Affiliate has violated these Terms, Fat Loss FM’s Brand
Guidelines or applicable laws.
(f) Program Termination: Upon termination of the Affiliate’s participation in the Program (see Section 8).
(g) Negative Reputation or Harm: The Affiliate’s promotional activities have caused reputational harm, legal liability, or customer complaints attributable to the Affiliate.
6. Affiliate Obligations & Conduct Standards
6.1 Legal Compliance
The Affiliate agrees to comply with all applicable laws and regulations, including but not
limited to:
(a) Australian Consumer Law (ACL): If selling to Australian customers, the Affiliate must
not make misleading or deceptive representations about Fat Loss FM products, must include required disclaimers, and must comply with advertising standards.
(b) Spam Act 2003 (Australia): All email marketing must comply with the Spam Act 2003,
including obtaining prior express or implied consent, including unsubscribe mechanisms, and identifying the sender.
(c) Privacy Act 1988 (Australia): The Affiliate must handle customer personal information in compliance with the Privacy Act 1988 and APPs (Australian Privacy Principles).
(d) GDPR & Data Protection Laws: If promoting to EU customers, the Affiliate must comply with GDPR, UK GDPR, and equivalent data protection laws in other jurisdictions.
(e) FTC Endorsement Guides & Equivalent: In the US and other jurisdictions with similar
requirements, the Affiliate must clearly disclose affiliate relationships (see Section 6.2).
(f) CAN-SPAM (USA), ePrivacy Directive (EU), and other regional email and advertising
regulations applicable to the Affiliate’s jurisdiction and audience.
(g) Health Claims & Advertising Standards: The Affiliate must comply with all applicable health advertising standards, therapeutic goods regulations, and medical claims policies in their jurisdiction (see Section 6.3).
6.2 Mandatory Affiliate Disclosure
(a) Transparency Requirement: Affiliates must clearly, conspicuously, and
unambiguously disclose that they have an affiliate relationship with FatLossFM and will earn a commission if customers purchase through their link.
(b) Disclosure Placement:
- Prominent & Clear: The disclosure must be placed where customers will see it before
clicking the affiliate link (not hidden in fine print or footnotes) - Before the Link: Disclose the relationship before readers encounter the affiliate link, not after.
(c) Applies to All Channels: This disclosure applies to:
- Blog posts and articles
- Email newsletters
- Social media posts (YouTube, Instagram, TikTok, Facebook, Twitter/X)
- Podcasts and videos
- Forum posts, comments, and reviews
- Any other promotional channel
(d) Multi-Language: If the Affiliate promotes to non-English-speaking audiences, the disclosure must be in the customer’s primary language.
(e) No Exemptions: There are no exceptions to this requirement, regardless of how small the audience or informal the promotion.
6.3 Prohibited Health & Weight-Loss Claims
This Section explains important health and advertising requirements for promoting FatLossFM products.
The Affiliate must NOT make any of the following claims or use content that implies or
suggests:
6.3.1 Unsubstantiated Medical Claims
- “Lose 10kg in 2 weeks” (without scientific evidence specific to the customer’s needs)
- “This product cures obesity” (weight loss is not a medical cure; it is a lifestyle management)
- “Clinically proven to prevent diabetes” (unless backed by peer-reviewed clinical trials specific to FatLossFM’s product)
- “This pill/supplement will eliminate your hunger” (especially if the product is not a supplement)
- “Guaranteed results” or “Money-back weight loss guarantee” (results vary by individual; guarantees are often illegal under health advertising laws)
6.3.2 Misleading Before/After Imagery
- Using before/after photos without clear disclaimers that the results are not typical
- Using pictures of celebrities or models as if those are customer results
- Digitally altering, cherry-picking, or misrepresenting transformations
Implying that weight loss occurred solely from the FatLossFM product without mentioning diet, exercise, or other factors.
6.3.3 Dangerous or Extreme Health Claims
- “Lose weight without diet or exercise”
- “Melt fat while you sleep”
- “This replaces medical treatment for [disease]”
- Claims that contradict medical advice or suggest the product is superior to professional health care.
6.3.4 Prohibited Comparisons
- Comparing FatLossFM to pharmaceutical drugs, prescription medications, or controlled substances
- Claiming FatLossFM is “as effective as” weight-loss drugs without evidence
- Suggesting the product is an alternative to medical care for health conditions.
6.3.5 Testimonials & Success Stories
(a) Affiliate-Generated Testimonials: If the Affiliate features customer testimonials, they
must:
- Be genuine, from real customers with verifiable purchases
- Include a clear, visible disclaimer: “Results may vary. This customer’s experience is not typical. See terms for full disclaimer.”
- Disclose that the customer may have followed an additional diet, exercise, or lifestyle
changes not mentioned - Include the timeframe (e.g., “Results achieved over 6 months”)
Be representative of typical results (e.g., if average weight loss is 3kg, don’t feature
only 15kg minutes transformations)
(b) Stock Photos as Testimonials: Absolutely prohibited. Do not use stock photos or generic images
purporting to be customer results.
(c) Fake Testimonials: Any fabricated testimonials, false reviews, or misleading success claims will result in immediate program termination and potential legal action.
6.3.6 What is Permitted
- Educational, factual content: “Here’s how calorie deficit works” or “Understanding
metabolism” - Personal experience: “I lost 5kg using Fat Loss FM’s approach; here’s how it helped me”
- Feature descriptions: “This course covers nutrition, exercise, and behavioural psychology”
- Non-medical explanations of weight gain and loss
- Honest reviews of the product’s structure, lessons, and community features
- Encouragement to consult healthcare providers before starting any new health program.
6.4 Content & Marketing Standards
6.4.1 Quality & Relevance
Affiliates should create or promote content that:
- Provides genuine value, education, or insight related to weight loss, fitness, nutrition,
or health - Is factually accurate and evidence-based to the extent possible
- Reflects authentic personal experience or professional expertise
- Respects the audience’s intelligence and autonomy.
6.4.2 Prohibited Promotional Tactics
Affiliates must NOT:
(a) Spam & Unsolicited Contact:
- Send unsolicited emails promoting FatLossFM to contacts without prior consent
- Post affiliate links in forums, Reddit, Facebook groups, or other communities without
explicit permission - Use automated bots, scrapers, or mass-messaging to promote links
- Comment with only a link and no substantive contribution to discussions.
(b) Clickbait & Misleading Headers:
- Use sensational, misleading, or outright false headlines to drive clicks
- Create urgency falsely (“Only two spots left!” when not true)
- Misdirect traffic to affiliate links (e.g., “Click to see who won the lottery” leading to FatLossFM sign-up)
(c) Negative Campaigning:
- Disparage or make false claims about FatLossFM competitors
- Promote Fat Loss FM by attacking competitors’ reputations unfairly
- Create fake “comparison” content that is designed to favour FatLossFM dishonestly.
(d) Paid Search & Trademark Bidding:
- Bid on “FatLossFM” or FatLossFM-branded terms in Google Ads, Bing, Facebook, or
other paid channels unless explicitly authorised - Use FatLossFM’s trademarks, logos, or domain name in ad copy, headlines, or display URLs
- Create ads that falsely imply endorsement, official partnership, or that the Affiliate is FatLossFM
- Exception: Affiliates may bid on non-branded, generic keywords (e.g., “weight loss course”, “fitness guide”) that do not include FatLossFM’s name.
(e) Domain & Trademark Abuse:
- Register domains similar to or confusingly similar to fatlossfm.com or Fat LossFM’s branding
- Create email addresses impersonating FatLossFM (e.g., [email protected] when not
an official employee) - Use FatLossFM’s intellectual property beyond the permitted scope (see Section 7)
(f) Unethical Link Placement:
- Hide affiliate links behind shortened URLs (bit.ly, TinyURL) without disclosure
- Bury affiliate links in redirects or pop-ups
- Place links in unexpected or deceptive locations in content.
(g) Traffic Manipulation:
- Use pop-up, pop-under, or interstitial ads to force customers to click affiliate links
- Generate traffic via malware, browser hijackers, or malicious code
- Participate in link farms or private blog networks (PBNs) for artificial traffic
- Use cloaking or other black-hat SEO techniques.
6.5 Brand Usage & Intellectual Property
6.5.1 Limited License to Fat Loss FM Intellectual Property
FatLossFM grants Affiliates a limited, non-exclusive, revocable license to:
- Display Fat Loss FM’s logos, product images, and banners provided in the Affiliate Portal for the sole purpose of promoting FatLossFM products
- Reference FatLossFM’s product names and key phrases in promotional content.
6.5.2 What Affiliates CANNOT Do
- Modify, alter, or distort FatLossFM’s logo or branding
- Create new logos or imagery claiming to represent FatLossFM without written
permission - Register domains containing “Fat Loss FM” or confusingly similar names
- Use FatLossFM’s branding in a way that implies official partnership beyond the
affiliate relationship (e.g., “Official Fat Loss FM Partner” without written
authorization) - Claim to be an employee, representative, or agent of FatLossFM (Affiliates are independent contractors)
- Create merchandise with FatLossFM branding without explicit written consent.
6.5.3 Brand Guideline Compliance
(a) FatLossFM may provide Brand Guidelines to Affiliates. Continued participation in the
program implies acceptance of these guidelines.
(b) Violation of Brand Guidelines will result in a warning and opportunity to cure. Persistent violations may lead to program suspension or termination.
7. Affiliate Resources & Support
7.1 Marketing Assets
FatLossFM provides Affiliates with:
- Product logos, images, and screenshots
- Pre-written promotional copy and email templates
- Social media post templates and graphics
- Product demo videos (if available)
- Links to official product pages and sales pages.
7.2 Affiliate Dashboard
Affiliates have access to a real-time dashboard displaying:
- Unique affiliate links for each FatLossFM product
- Click-through rates and traffic sources
- Conversion rates and commission earnings
- Payout history and pending commissions.
7.3 Support & Communication
(a) Email Support: Affiliates may contact support@fatlossfm.com with questions, technical issues, or support requests.
(b) Response Time: FatLossFM aims to respond to affiliate inquiries within 3–5 business days.
(c) Dedicated Affiliate Manager: Affiliates generating over $1,000 in monthly revenue may be assigned a dedicated account manager (at FatLossFM’s discretion).
(d) Limited Customisation: Affiliates may request customised promotional materials or specific ad copy; Fat Loss FM will consider requests, but is under no obligation to fulfil them.
8. Independent Contractor Status
8.1 No Employment Relationship
The Affiliate is an independent contractor, not:
- An employee of FatLossFM
- An agent or representative of FatLossFM (except as expressly authorised)
- A partner or joint venturer with FatLossFM
- A reseller or distributor of FatLossFM products.
8.2 Affiliate Responsibilities
The Affiliate is responsible for:
- Their own business taxes, income tax reporting, and GST/VAT (if applicable)
- Business insurance and liability coverage
- Complying with self-employment regulations in their jurisdiction
- Marketing and promotional activities at their own cost and risk
- Obtaining any required business licenses or registrations.
8.3 No Benefits or Protections
The Affiliate is not entitled to:
- Employee benefits (health insurance, retirement plans, paid leave, etc.)
- Workers’ compensation coverage
- Unemployment insurance
- Workplace protections under employment law
Minimum wage or hourly compensation.
9. Program Modification, Suspension & Termination
9.1 Modification of Program Terms
(a) Fat Loss FM reserves the right to modify these Terms, the commission structure, cookie duration, payout policies, or any other aspect of the Program at any time.
(b) Notice: Material changes will be communicated to Affiliates via email at least 14 days before the change takes effect. Continued participation after the notice period constitutes acceptance.
(c) Grandfathering: For changes that reduce affiliate benefits (e.g., lower commission rates), FatLossFM may, at its discretion, grandfather existing Affiliates for a limited period.
9.2 Suspension of Participation
FatLossFM may temporarily suspend an Affiliate’s access to the Program if:
- The Affiliate is under investigation for policy violations
- The Affiliate’s account shows signs of fraud or irregular activity
- The Affiliate’s content or promotions are generating complaints or legal concerns
- There is a technical issue with the Affiliate’s account.
(a) Notice & Opportunity to Cure: FatLossFM will attempt to notify the Affiliate of the
reason for suspension and provide an opportunity to correct the issue within 7 days.
(b) Reinstatement: Upon cure of the violation, the Affiliate’s account will be reactivated.
(c) No Compensation: Affiliates receive no compensation for periods of suspension.
9.3 Termination of Affiliate Status
FatLossFM may terminate an Affiliate’s participation in the Program immediately and
without prior notice if:
(a) Serious Policy Violations:
- Fraudulent activity, fabricated commissions, or false claims
- Repeated violations of Sections 5.6, 6.3 or 6.4 (Payout Terms, Prohibited Practices or Conduct Standards
- Making illegal health claims or causing legal liability to FatLossFM
- Abuse of other Affiliates or FatLossFM staff
(b) Criminal Activity: The Affiliate is convicted of a crime involving fraud, deception, or
activity that would harm FatLossFM.
(c) Unresolved Disputes: The Affiliate has unresolved chargebacks, fraudulent refund requests, or payment disputes.
(d) Inactivity: The Affiliate has generated zero clicks or sales for 180+ consecutive days
(Fat Loss FM may purge inactive accounts).
(e) Reputational Harm: The Affiliate’s activities have caused significant reputational, legal, or financial harm to Fat Loss FM that cannot be remedied.
(f) Non-Serious Violations (after notice):
- Repeated material breaches of these Terms
- Failure to cure violations after a 7-day notice and opportunity to do so
(g) Voluntary Withdrawal: The Affiliate requests termination in writing.
(h) Program Closure: FatLossFM discontinues the Affiliate Program entirely (see Section 9.4)
9.4 Affiliate Program Closure
(a) Fat Loss FM may discontinue the Affiliate Program entirely at any time.
(b) Upon closure, all Affiliates will receive 30 days’ notice via email.
(c) Affiliates will be paid all earned, non-disputed commissions within 60 days of the closure date.
9.5 Effect of Termination
(a) The Affiliate’s affiliate links will stop working and generate no commissions.
(b) FatLossFM will pay all earned commissions accrued up to the termination date, minus any disputed, fraudulent, or refunded sales.
(c) The Affiliate must cease all use of FatLossFM’s branding, logos, and promotional
materials.
(d) Any balances below the minimum payout threshold ($50) may be forfeited unless FatLossFM decides otherwise.
(e) The Affiliate may reapply to the Program in the future, but FatLossFM may reject reapplication based on history.
(f) No Damages: Termination does not entitle the Affiliate to compensation, damages, or
refund of promotional expenses.
10. Limitation Of Liability & Disclaimer
10.1 No Guarantee of Earnings
(a) FatLossFM makes no guarantee regarding the Affiliate’s income, traffic, conversion rates, or commissions.
(b) Affiliate earnings depend on numerous factors outside FatLossFM’s control, including
market demand, customer acquisition cost, competition, and Affiliate promotional effort.
(c) Past performance does not guarantee future results.
10.2 No Liability for Lost Earnings
(a) FatLossFM is not liable for:
- Lost commissions due to technical failures, cookie loss, or tracking errors
- Lost traffic due to search algorithm changes, social media policy changes, or
platform issues - Chargebacks, refunds, or payment failures initiated by customers
- Reduced commissions due to program changes or policy modifications
- Any indirect, incidental, consequential, or punitive damages
(b) The Affiliate’s sole remedy for a dispute regarding tracked sales or commissions is to report the issue within 30 days and allow FatLossFM to investigate.
10.3 Product Liability
(a) FatLossFM is not liable for any claims, injuries, or harm arising from customer use of
FatLossFM products, including weight loss attempts, health risks, or psychological effects.
(b) The Affiliate must not make claims that could create liability for FatLossFM (see
Section 6.3).
(c) If the Affiliate receives a customer complaint or legal claim related to their promotional material, the Affiliate is responsible for addressing it, and FatLossFM may require the Affiliate to remove or modify the content.
10.4 Third-Party Content & Links
(a) The Affiliate may link to FatLossFM’s website or sales pages, but FatLossFM is not
responsible for third-party comments, reviews, or user-generated content on the Affiliate’s website or social media.
(b) The Affiliate is responsible for moderating and managing their own audience and
platform.
10.5 Maximum Liability
To the maximum extent permitted by law, FatLossFM’s total aggregate liability arising out of or in connection with these Terms and the Program will not exceed the total amount of commissions actually paid to the Affiliate under these Terms during the six (6) months immediately preceding the event giving rise to the claim.
11. Confidentiality
11.1 Non-Disclosure of Commission Rates & Terms
(a) The Affiliate may disclose their own commission earnings publicly (e.g., “I earn 30%
commission through FatLossFM’s affiliate program”).
(b) However, the Affiliate must not publicly share or disclose:
- Individual customer sales data or customer identities (beyond what’s publicly visible)
- FatLossFM’s internal cost structure, pricing strategy, or sales data
Unreleased product information or pre-launch details - Private communications with FatLossFM support staff.
(c) Violation may result in program termination.
12. Dispute Resolution & Governing Law
12.1 Applicable Law
These Terms are governed by the laws of New South Wales, Australia, without regard to
conflict of laws principles.
Rationale: FatLossFM is headquartered in NSW, Australia. Disputes are governed by NSW law and, where applicable, Australian federal law (e.g., the Competition and Consumer Act 2010 and the Privacy Act 1988).
12.2 Dispute Resolution Process
(a) Good Faith Negotiation: Before pursuing formal action, the Affiliate and Fat Loss FM
agree to attempt to resolve any dispute through good-faith communication within 30 days.
(b) Escalation: If informal resolution fails, either party may formally escalate to FatLossFM’s designated dispute contact (support@fatlossfm.com).
(c) Investigation & Response: FatLossFM will investigate and provide a written response within 14 days of formal dispute notification.
12.3 Jurisdiction & Venue
Any legal proceedings arising out of or in connection with these Terms or the Program must be brought in the courts of New South Wales, Australia.
The parties irrevocably submit to the exclusive jurisdiction of those courts and waive any objection based on lack of personal jurisdiction or inconvenient forum.
Each party also waives any right to participate in a class action, class arbitration or other representative proceeding against the other party.
12.4 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed, and the remaining Terms will continue in full force and effect.
13. Final Provisions
13.1 Entire Agreement
These Terms, along with FatLossFM’s main Terms of Service and Privacy Policy, constitute the entire agreement between the Affiliate and FatLossFM regarding the Affiliate Program and supersede all prior agreements, understandings, and negotiations.
13.2 Waiver
No waiver of any provision of these Terms is effective unless made in writing and signed by
both parties. A single waiver does not constitute a waiver of any other provision or future
breach.

These Terms were last updated on 9 January 2026. FatLossFM will announce major
changes on its website and via email notification to active Affiliates.
Acknowledgement
By enrolling in the FatLossFM Affiliate Program or continuing participation after these
Terms are posted, the Affiliate acknowledges that they have read, understood, and agree to
be bound by these Terms & Conditions in their entirety.
